ViewHawk Systems Limited

These Terms and Conditions of Sale (“Terms”) apply to all quotations, orders, sales, and supplies of products and services by ViewHawk Systems Limited (“ViewHawk”, “we”, “our”, or “us”). By placing an order, the purchaser (“customer” or “client”) agrees to be bound by these Terms.
1. Orders and Acceptance
1.1 All quotations are invitations to treat only and are subject to acceptance by ViewHawk.
1.2 No order is binding until confirmed in writing by ViewHawk.
1.3 ViewHawk reserves the right to refuse, cancel, or amend any order prior to dispatch at its sole discretion.
1.4 The customer will be notified of the production commencement date prior to order acceptance. Once production or allocation has commenced, any deposit paid is non-refundable.
2. Pricing
2.1 All prices are quoted in USD or NZD as stated and are exclusive of GST, duties, taxes, shipping, insurance, customs charges, and any other applicable costs.
2.2 Prices may be revised at any time prior to written order confirmation.
3. Payment Terms
3.1 Unless otherwise agreed in writing, full payment is required prior to dispatch.
3.2 ViewHawk may suspend or cancel orders for late or non-payment without liability.
3.3 All deposits are non-refundable once production or allocation has commenced.
4. Delivery, Title, and Risk
4.1 Delivery dates are estimates only. ViewHawk is not liable for delays beyond its reasonable control.
4.2 Risk of loss or damage passes to the Customer upon dispatch, including for prototype or demonstration units.
4.3 Title to goods transfers to the Customer only upon receipt of full payment.
5. Product Classification, Intended Use, and Operator Responsibility
5.1 ViewHawk products are professional unmanned aircraft systems (UAVs) intended solely for use by trained, competent, and authorised operators.
5.2 The customer acknowledges and agrees that:
Unmanned aircraft operations involve inherent risks, including software, firmware, autopilot, mechanical, and environmental failure, which may result in serious injury, death, or property damage.
The System is not fail-safe and is not represented as airworthy, certified, or suitable for operations over people, property, or hazardous environments unless expressly approved in writing by ViewHawk.
5.3 The customer is solely responsible for:
Compliance with all applicable aviation, safety, airspace, and regulatory requirements in any jurisdiction of operation;
Determining the suitability of the system for the intended application;
Operational planning, risk assessment, maintenance, repair, and continued airworthiness;
Ensuring operators are appropriately trained, licensed, and authorised.
5.4 ViewHawk makes no representation or warranty that the system complies with laws or regulations outside New Zealand.
5.5 ViewHawk provides no operational approvals, authorisations, or regulatory assurances of any kind.
6. Assumption of Risk
6.1 To the maximum extent permitted by law, the customer voluntarily assumes all risks arising from or related to the operation, handling, storage, transportation, maintenance, modification, software/firmware, or use of the system, including operation with third-party or custom payloads.
6.2 This assumption of risk applies regardless of whether such risks were foreseeable.
7. Operating Restrictions
7.1 Unless expressly approved in writing by ViewHawk, the System shall not be used:
Over or near people or populated areas;
Near critical infrastructure;
For emergency response;
With hazardous, explosive, or unlawful payloads;
Outside the documented operating envelope;
Beyond line-of-sight or BVLOS without prior written consent.
7.2 Any unauthorised use constitutes a material breach of these Terms.\
8. Pre-Flight and Operational Procedures
8.1 The customer must ensure all pre-flight inspections, system checks, and failure-mode verifications are completed prior to each operation.
8.2 Compliance with operating manuals, checklists, and failure-mode procedures is a condition precedent to warranty coverage.
8.3 Failure to comply transfers all resulting risk and liability to the customer.
9. Maintenance, Repairs, and Modifications
9.1 ViewHawk systems are designed to be operator-maintainable.
9.2 Routine maintenance, repairs, and component replacement are the sole responsibility of the customer.
9.3 Any unauthorised modification, integration, repair, or alteration, including use of non-genuine parts or components, voids warranty coverage and transfers all resulting risk and liability to the customer.
9.4 ViewHawk may require return of the system only where a confirmed manufacturing defect cannot be resolved through component replacement.
10. Warranty
10.1 See ViewHawk warranty policy on our website and supplied with each system.
10.2 This warranty:
Covers manufacturing defects only;
Excludes damage arising from misuse, crashes, environmental exposure, unauthorised modification, improper maintenance, or normal wear and tear;
Is limited, at ViewHawk’s discretion, to repair or replacement of defective components.
10.3 No other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, are provided.
10.4 Warranty does not extend to demonstration units used for advertising, marketing, or testing purposes.
11. Limitation of Liability
11.1 To the maximum extent permitted by law:
ViewHawk shall not be liable for any indirect, incidental, special, or consequential loss;
ViewHawk shall not be liable for loss of profits, loss of revenue, loss of data, loss of use, business interruption, or regulatory enforcement actions.
11.2 ViewHawk’s total aggregate liability arising out of or in connection with the system or these Terms shall not exceed the purchase price paid for the system.
11.3 Nothing in these Terms excludes liability that cannot be excluded by law, including proven willful misconduct.
12. Indemnity
12.1 The customer shall indemnify, defend, and hold harmless ViewHawk, its directors, officers, employees, and contractors from and against all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to:
Operation or use of the system;
Breach of these Terms;
Violation of any law or regulation;
Injury to persons or damage to property;
Operation with third-party or custom payloads or software.
12.2 This indemnity applies regardless of jurisdiction and survives delivery, use, and termination of these Terms.
12.3 The indemnity does not apply solely to the extent a court of competent jurisdiction finally determines loss was caused by ViewHawk’s proven willful misconduct.
13. No Reliance
13.1 The customer acknowledges it has not relied on any representations, statements, or assurances not expressly set out in these Terms, including marketing materials, demonstrations, or verbal statements.
14. Returns and Cancellations
14.1 Returns are not accepted without prior written authorisation.
14.2 Custom-built or configured products are non-refundable.
14.3 Deposits or full payments are non-refundable once production or component allocation has commenced.
15. Governing Law and Jurisdiction
15.1 These Terms are governed by the laws of New Zealand.
15.2 The parties submit to the exclusive jurisdiction of the courts of New Zealand.
16. Survival
16.1 Clauses relating to limitation of liability, indemnity, assumption of risk, governing law, and jurisdiction survive termination or expiry.
